Terms & Conditions

These Terms & Conditions ("Terms") govern your use of TrackMy UGC (the "Service"), operated by Misty Amey, trading as Build With MOM ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Who you're contracting with

You are entering an agreement with Misty Amey (Build With MOM). Contact: buildwith.mom@hotmail.com.

2. Eligibility

You must be at least 16 years old and, if using the Service on behalf of a business, authorised to bind that business.

3. The Service

TrackMy UGC is a workspace for user-generated-content creators to organise brand deals, jobs, content plans, income, ideas, and equipment. Features and limits depend on your plan.

4. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. Provide accurate information and keep it up to date.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

• Use it unlawfully, or to send spam, fraud, or malware.
• Infringe anyone's intellectual property or privacy.
• Interfere with security, probe, scan, or scrape the Service.
• Reverse engineer, resell, or redistribute the Service.
• Circumvent plan limits or technical restrictions.

6. Your content

You retain ownership of the content you add to the Service. You grant us a limited, non-exclusive licence to host, store, and process that content solely to provide the Service to you.

7. Intellectual property

We retain all rights, title, and interest in the Service, including its software, design, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your plan.

8. Payment, subscriptions & Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Paid subscriptions renew automatically at the end of each billing period until cancelled. You can cancel any time from your billing portal.

10. Service availability

We work to keep the Service reliable, but we do not guarantee it will be uninterrupted, error-free, or free from data loss. Back up important information.

11. Suspension & termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, present a security or fraud risk, or repeatedly violate our policies. You may close your account at any time. On termination we will delete your data as described in our Privacy Notice, subject to legal retention obligations.

12. Warranties & disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Liability

To the fullest extent permitted by law, our aggregate liability for any claim arising from these Terms or the Service is capped at the fees you paid us in the 12 months before the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded by law.

14. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

15. Changes

We may update these Terms. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Misty Amey (Build With MOM) is established, without regard to conflict-of-laws principles.

17. Assignment

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

18. Force majeure

Neither party is liable for failure to perform caused by events beyond reasonable control.
